TERMS OF SERVICE

These Terms of Service (“Terms”) establish a legally binding agreement between you (“User,” “Buyer,” “Supplier,” or “You”) and Ayda Cavuldar (SubmitParts Business), operating submitparts.com (“SubmitParts,” “Website,” “Mobile Application,” “we,” “us,” or “our”).

By accessing or using the SubmitParts website or mobile application, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please refrain from using the Website or Mobile Application.

 

  1. Scope of Services

SubmitParts is a B2B digital platform designed to connect users seeking spare parts (“Buyers”) with suppliers (“Suppliers”) through a Request for Quotation (RFQ) system.

We provide a platform where users can publish requests and suppliers can respond to those requests.

SubmitParts services may be accessed through the Website and the SubmitParts Mobile Application.

The Mobile Application provides access to:

  • RFQs
  • Supplier quotes
  • Messaging
  • Notifications
  • Membership-related functionality
  • Account management features

IMPORTANT BUSINESS MODEL CLARIFICATION

SubmitParts operates strictly as a lead-generation and membership-based platform.

SubmitParts does NOT:

  • Sell physical products
  • Act as a broker, intermediary, escrow service, or payment processor
  • Process, hold, or facilitate payments between buyers and suppliers
  • Take commissions from product transactions
  • Participate in shipping, customs, logistics, or product delivery

All payments made to SubmitParts are exclusively for digital membership services that allow suppliers to access and respond to RFQs.

Any transactions involving products, including pricing, payment, shipping, delivery, customs clearance, warranties, and returns, are conducted entirely outside the SubmitParts platform and solely between users.

 

  1. Eligibility

To use SubmitParts, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter binding agreements
  • Provide accurate registration information

You are responsible for keeping your information accurate and current.

 

  1. Account Registration and Responsibility

To access certain features, you may be required to create an account.

You are responsible for:

  • Maintaining account security
  • Protecting login credentials
  • Activities conducted under your account

You agree to:

  • Keep credentials secure
  • Notify us immediately of unauthorized access
  • Cooperate with security investigations

SubmitParts may suspend or terminate accounts involved in abuse, fraud, unlawful activity, or violations of these Terms.

 

  1. User Conduct

You agree not to:

  • Provide false information
  • Submit fraudulent RFQs or quotations
  • Send spam communications
  • Upload malware or harmful content
  • Circumvent platform restrictions
  • Interfere with platform operations
  • Violate applicable laws

SubmitParts may remove content or suspend accounts where necessary.

 

  1. User Communications

SubmitParts may provide:

  • Messaging systems
  • RFQ communications
  • Quote discussions
  • Push notifications
  • Supplier-buyer communication tools

Users are solely responsible for the content they publish or communicate through the platform.

SubmitParts reserves the right to investigate misuse of communication features.

 

  1. Electronic Communications

By creating an account or using SubmitParts, you consent to receive electronic communications relating to:

  • RFQs
  • Quotes
  • Membership activity
  • Security alerts
  • Account notifications
  • Platform updates

Communications may be delivered via:

  • Email
  • Website notifications
  • Mobile push notifications
  • In-app messaging

Users may manage notification settings through their account or device settings.

 

  1. Transactions and Disputes

SubmitParts is not a party to any transaction between users.

All transactions occur directly between Buyers and Suppliers.

Users are solely responsible for:

  • Product verification
  • Supplier verification
  • Payment arrangements
  • Shipping arrangements
  • Contract negotiations
  • Product quality verification
  • Regulatory compliance

Any disputes must be resolved directly between the parties involved.

SubmitParts shall not be liable for losses, damages, delays, fraud, customs issues, shipping problems, or business losses arising from user transactions.

 

  1. Fees and Membership Services

SubmitParts offers free and paid services.

  • Buyers may submit RFQs free of charge.
  • Suppliers may purchase membership plans.

All payments made to SubmitParts are strictly for digital membership services.

Membership purchases may be completed through the SubmitParts website using approved payment providers.

The Mobile Application may display membership information and account features; however, membership purchases and renewals may be processed through the SubmitParts website.

SubmitParts does not process payments related to product sales between users.

 

  1. Intellectual Property

All content on SubmitParts including:

  • Text
  • Graphics
  • Logos
  • Software
  • Platform functionality
  • Designs

is owned by Ayda Cavuldar (SubmitParts Business) or its licensors and is protected by intellectual property laws.

Unauthorized use is prohibited.

 

  1. Third-Party Links and Services

SubmitParts may contain links to third-party websites and services.

We are not responsible for:

  • Third-party content
  • Third-party services
  • Third-party privacy practices
  • Third-party transactions

Use of third-party services is entirely at your own risk.

 

  1. Mobile Application

The SubmitParts Mobile Application may send push notifications relating to:

  • New RFQs
  • Supplier quotes
  • Messages
  • Membership activity
  • Account updates

Users may manage notifications through device settings.

Features may vary depending on platform, operating system, or application version.

 

  1. Mobile Application License

SubmitParts grants users a limited, non-exclusive, non-transferable, revocable license to install and use the Mobile Application solely for accessing SubmitParts services.

Users may not:

  • Reverse engineer the application
  • Modify or redistribute the application
  • Use the application for unlawful purposes
  • Attempt unauthorized access to platform systems

This license automatically terminates upon violation of these Terms.

 

  1. Force Majeure

SubmitParts shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including:

  • Internet outages
  • Telecommunications failures
  • Cyberattacks
  • Natural disasters
  • Government actions
  • Labor disputes
  • War
  • Third-party service interruptions

 

  1. Limitation of Liability

To the fullest extent permitted by law, SubmitParts shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Data loss
  • User disputes
  • Product defects
  • Shipping delays
  • Customs issues
  • Unauthorized account access

Our total liability shall not exceed the amount paid by the user for the specific service giving rise to the claim.

 

  1. Disclaimer of Warranties

SubmitParts is provided on an “AS IS” and “AS AVAILABLE” basis.

We make no guarantees regarding:

  • Availability
  • Reliability
  • Accuracy
  • Continuous operation
  • Error-free operation

Use of the platform is at your own risk.

 

  1. Data Privacy

Your use of SubmitParts is governed by our Privacy Policy.

 

  1. Modifications

We reserve the right to modify these Terms at any time.

Updated versions become effective upon publication.

Continued use of SubmitParts constitutes acceptance of updated Terms.

 

  1. Termination

We may suspend or terminate access without notice where:

  • These Terms are violated
  • Fraudulent activity is detected
  • Security concerns arise
  • Legal obligations require action

 

  1. Indemnification

You agree to indemnify and hold harmless SubmitParts, Ayda Cavuldar, employees, contractors, affiliates, and service providers from claims, liabilities, losses, damages, expenses, or legal costs arising from:

  • Your use of the platform
  • Your transactions with other users
  • Your violation of these Terms
  • Your violation of applicable laws

 

  1. Governing Law

These Terms shall be governed by the laws of the Republic of Türkiye.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ankara, Türkiye.

 

  1. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Seller Agreement, Buyer Agreement, and other referenced policies, constitute the entire agreement between you and SubmitParts.
