SELLER AGREEMENT
Effective Date: 01 January 2026
This Seller Agreement is entered into between you (“Seller”, “Supplier”, “You”) and Ayda Cavuldar (SubmitParts Business), operating submitparts.com (“SubmitParts”, “Platform”, “Website”, “Mobile Application”, “we”, “us”, “our”).
By registering as a Seller or Supplier and using SubmitParts, you agree to be bound by this Seller Agreement, the Terms of Service, Privacy Policy, and all other applicable platform policies.
Platform Role
SubmitParts operates strictly as a B2B request-for-quotation (RFQ), lead generation, and membership-based platform.
SubmitParts does NOT:
• Sell products
• Purchase products
• Act as a broker, intermediary, agent, distributor, dealer, or representative
• Process, hold, or facilitate payments between Buyers and Sellers
• Provide escrow services
• Take commissions from product sales
• Participate in shipping, customs, logistics, or delivery
SubmitParts only provides digital tools that enable Suppliers to view RFQs and communicate with Buyers.
Membership Requirement
Access to RFQs and supplier features may require an active paid membership.
Membership payments are payments for digital platform access only.
Membership payments do not guarantee:
• Sales
• Leads
• Orders
• Revenue
• Buyer responses
• Business opportunities
SubmitParts makes no guarantees regarding the commercial success of any Seller.
Seller Responsibilities
Sellers are solely responsible for:
• Product information
• Quote accuracy
• Pricing
• Availability claims
• Delivery commitments
• Product specifications
• Product legality
• Regulatory compliance
• Communications with Buyers
All information provided by Sellers must be accurate, truthful, current, and lawful.
Prohibited Activities
Sellers may not:
• Submit false quotations
• Misrepresent products
• Offer counterfeit goods
• Violate intellectual property rights
• Engage in fraudulent conduct
• Use misleading pricing
• Send spam communications
• Upload malicious files or software
• Circumvent membership requirements
• Use automated scraping tools
SubmitParts reserves the right to suspend or permanently terminate accounts engaging in prohibited conduct.
Transactions
All transactions occur directly between Buyers and Sellers.
Sellers are solely responsible for:
• Negotiations
• Contracts
• Invoices
• Payments
• Shipping
• Customs documentation
• Taxes
• Product warranties
• Returns
• Product quality
SubmitParts is not a party to any agreement between users.
Product Compliance
Sellers represent and warrant that:
• They have the legal right to offer products or services
• Products comply with applicable laws
• Products do not infringe intellectual property rights
• Products are accurately described
• Products are not prohibited or illegal
Sellers assume full responsibility for any legal claims arising from products they offer.
Export, Import, and Tax Obligations
Sellers are solely responsible for:
• Export regulations
• Import regulations
• Trade sanctions compliance
• Customs requirements
• VAT obligations
• GST obligations
• Corporate tax obligations
• Local business licensing requirements
SubmitParts does not provide legal, customs, tax, or regulatory advice.
Buyer Communications
Sellers are responsible for all communications with Buyers.
Communications must remain professional, lawful, and truthful.
SubmitParts may investigate reports of abuse, harassment, fraud, or misconduct.
Mobile Application
Seller accounts may access platform features through the SubmitParts Website and Mobile Application.
Availability of certain features may vary by platform or application version.
Use of the Mobile Application remains subject to this Seller Agreement.
Intellectual Property
Sellers grant SubmitParts a non-exclusive license to display company names, product information, logos, quotations, and submitted content as necessary to operate the platform.
Sellers retain ownership of their content.
Limitation of Liability
To the fullest extent permitted by law, SubmitParts shall not be liable for:
• Lost profits
• Lost business opportunities
• Transaction disputes
• Product defects
• Buyer misconduct
• Shipping delays
• Customs issues
• Payment disputes
• Regulatory actions
• Indirect or consequential damages
Any liability of SubmitParts shall be limited to the amount paid by the Seller for platform membership services.
Account Suspension and Termination
SubmitParts reserves the right to suspend or terminate Seller accounts where:
• This Agreement is violated
• Fraud is suspected
• Abuse is reported
• Legal obligations require action
• Platform security is threatened
Termination may occur without prior notice where necessary.
Acknowledgment
By registering as a Seller, you acknowledge and agree that:
• SubmitParts is a digital membership and lead-generation platform only.
• SubmitParts does not guarantee sales or leads.
• SubmitParts is not responsible for transactions between users.
• All commercial responsibility rests solely with the Seller.
